Abstract

Summary: In this research, we discussed the topic of corporate integration in Algerian legislation. Integration is one of the most important aspects of economic concentration, by integrating a group of companies into a single company, whether by annexation, blending or separation. In order to produce large companies with large capital that make them capable of achieving the purposes and objectives they seek. Thus, merger is the best way to achieve maximum economic and commercial concentration, increase competitiveness, reduce public expenditures, unify management and increase production efficiency. ................... الملخص: تناولنا في هذا البحث موضوع إندماج الشركات في التشریع الجزائري، حیث یمثل الإندماج أحد أهم مظاهر التركیز الإقتصادي ، وذلك من خلال دمج مجموعة من الشركات في شركة واحدة سواء بطریق الضم أو المزج أو الإنفصال ، حیث ینتج من خلاله شركات كبرى لها رؤوس أموال ضخمة تجعلها قادرة على تحقیق الأغراض و الأهداف التي تسعى إلیها و بالتالي فان الإندماج یعتبر الوسیلة المثلى في تحقیق أقصى درجات التركیز الإقتصادي و التجاري ویؤدي إلى زیادة القدرة على المنافسة و تخفیض النفقات العامة و توحید الإدارة ورفع كفایة الإنتاج . ......................... Résumé : Dans cette recherche, nous avons abordé le thème de l’intégration des entreprises dans la législation algérienne. L’intégration est l’un des aspects les plus importants de la concentration économique, en intégrant un groupe de sociétés dans une seule entreprise, que ce soit par annexion, mélange ou séparation. Afin de produire de grandes entreprises avec un grand capital qui les rendent capables d’atteindre les buts et les objectifs qu’ils recherchent. Ainsi, la fusion est le meilleur moyen d’atteindre une concentration économique et commerciale maximale, d’accroître la compétitivité, de réduire les dépenses publiques, d’unifier la gestion et d’accroître l’efficacité de la production.
