Abstract

Abstract The Algerian legislator introduced a new model of commercial companies under Law No. 22-09, known as the Simplified Joint Stock Company. The establishment of this type of company is limited to entities holding the status of a "startup", with no requirement for a minimum share capital or a specific number of partners. This grants the company great flexibility in its formation and management. Additionally, the legislator prohibited public offerings, which reinforces its contractual nature and makes it more suitable for innovative and emerging investments. .............................. ملخص المذكرة استحدث المشرّع الجزائري بموجب القانون 22-09 نموذجًا جديدًا من الشركات التجارية تحت تسمية شركة المساهمة المبسطة، حيث قصر إمكانية تأسيسها على الشركات الحاصلة على صفة "مؤسسة ناشئة"، دون اشتراط حد أدنى لرأس المال أو تحديد عدد الشركاء، مما منحها مرونة كبيرة في التأسيس والتسيير. كما حظر المشرّع اللجوء إلى الاكتتاب العام، وهو ما يُضفي عليها طابعًا اتفاقيًا خالصًا بين الشركاء، ويجعلها أكثر ملاءمة لطبيعة الاستثمارات المبتكرة والناشئة. .......................... Résumé Le législateur algérien a introduit un nouveau modèle de société commerciale en vertu de la loi n° 22-09, sous l’appellation de Société par Actions Simplifiée (SAS). La création de ce type de société est limitée aux entités disposant du statut de "startup", sans exigence de capital social minimum ni de nombre déterminé d’associés, ce qui lui confère une grande souplesse dans sa constitution et sa gestion. De plus, le législateur a interdit le recours à l’appel public à l’épargne, renforçant ainsi son caractère contractuel et la rendant particulièrement adaptée aux investissements innovants et émergents
