Partners in view of the miscalculation of the company's assets and liabilities by the managers, as well as the misappropriation and arbitrary use of the company's funds where the company's funds are wasted and used by the managers for personal purposes are damages to the company, as well as those provided under the Penal Code as an offence of breach of trust The managers encroach on the ownership of the company by converting temporary possession into permanent possession with the intention of owning, or the walker may falsify business editions by changing the editor's reality by either material falsification or moral. Prevents the achievement of its objectives and projects and reflects negatively on them and on the economy of the State as a whole. ..................... الملخص أحاط المشرع الجزائري الشركات التجارية بمجموعة من الأحكام والنصوص القانونية التي تنظم نشاطها في كل مراحل حياتها وهذا نظرا للدور الهام الذي تلعبه في المجال الاقتصادي والاجتماعي. ورتب على مخالفة هذه النصوص مسؤولية جزائية خاصة في حق مسيري هذه الشركات الذين يتجاوزون حدود سلطاتهم ويخلون بالتزاماتهم اتجاه هذه الأخيرة باعتبارها شخص معنوي مما يؤدي إلى الأضرار بها؛ وقد انصب اهتمامنا على أهم الجرائم التي تقع على الشركة التجارية سواء تلك المنصوص عليها في القانون التجاري والمتعلقة بمخالفة قواعد التأسيس كإصدار أسهم قبل القيد في السجل التجاري وأيضا جريمة الاكتتاب الصوري للأسهم وكذلك الجرائم الماسة برأس مال الشركة كتوزيع أرباح صورية على الشركاء نظرا للتقدير الخاطئ لأصول وخصوم الشركة من طرف المسيرين، وأيضا جريمتي التبديد والاستعمال التعسفي لأموال الشركة حيث يقوم المسيرين بتبديد أموال الشركة واستعمالها لإغراضهم الشخصية أضرار بشركة ، وأيضا تلك المنصوص عليها بموجب قانون العقوبات كجريمة خيانة الأمانة حيث يقوم المسيرين بالتعدي على ملكية الشركة من خلال تحويل الحيازة المؤقتة إلى حيازة دائمة بنية التملك، أو قد يقوم المسير بتزوير المحررات التجارية عن طريق تغيير حقيقة المحرر إما بالتزوير المادي أو المعنوي. فتنهار مصلحة وحق الشركة كما أن المسير في بعض الأحيان يقوم بالاعتداء على أموال الشركة من خلال ارتكابه لجرائم تضر بذمتها المالية كتفليس الشركة و بالتدليس أو بالتقصير ما يؤدي إلى افتقار الذمة المالية لها وإنقاصها، كما قد يقوم المسير في تعامله مع الغير لإصدار شيكات دون رصيد وهذا الفعل يؤثر على الشركة ومكانتها ويجعل الغير يتراجعون عن التعامل معها، وتقل ثقتهم فيها وهذا ما يمنع من تحقيق أهدافها ومشاريعها وينعكس بالسلب عليها وعلى اقتصاد الدولة ككل . .................. La violation de ces dispositions entraîne une responsabilité pénale spéciale pour les dirigeants de ces sociétés qui vont au-delà Les limitations de leurs pouvoirs et la violation de leurs obligations envers cette dernière en tant que personne morale entraînant des dommages; Notre attention a été portée sur les infractions les plus importantes contre la société commerciale, celles prévues par le droit commercial en matière de violation des règles de constitution, telles que l’émission d’actions avant leur inscription au registre du commerce, ainsi que l’infraction de souscription frauduleuse d’actions, ainsi que les infractions contre le capital de la société, tels que la distribution des bénéfices.
